NEW YORK, NY -- (Marketwire) -- 05/14/12 -- To help lawyers understand the practical implications of the JOBS Act for foreign issuers, Practical Law Company (PLC), a provider of practical legal know-how to law firms, law departments and law schools, will host a free webinar, "How Will the JOBS Act Affect Non-US Issuers?," on May 22, 2012, at 12:00PM ET (9:00AM PT). The 60-minute webinar will cover the advantages available to non-US "emerging growth companies," considerations for foreign issuers already listed or public in their home countries, pre- and post-filing communications and differences between "pilot fishing" and cornerstone investing practices outside of the US. It will also address new documentation issues and how private placements and Rule 144A offerings will change as a result of the Act. The program will be followed by a question and answer session.
During the presentation, Jerry Carannante and Robert Laplante, attorney editors with PLC's Corporate & Securities service, will moderate a discussion with Anna Pinedo, a partner with Morrison & Foerster LLP, and Tymour Okasha, Assistant General Counsel and Director in Equity Capital Markets at Bank of America Merrill Lynch. The panelists will focus on the practical implications of the JOBS Act for foreign issuers, whether contemplating an IPO, private placement or Rule 144A offering targeting US investors.
