FNB Bancorp to Acquire Oceanic Bank Holding, Inc.(March 26, 2012)
SOUTH SAN FRANCISCO, CA -- (Marketwire) -- 03/26/12 -- FNB Bancorp (OTCQB: FNBG) (OTCBB: FNBG), parent company of First National Bank of Northern California (the "Bank"), and Oceanic Bank Holding, Inc., parent company of Oceanic Bank, today jointly announced that FNB Bancorp has entered into a definitive agreement to purchase, in an all cash purchase price of $27,750,000 to be paid at closing, all of the outstanding stock of Oceanic Bank Holding, Inc., parent company of Oceanic Bank. This purchase is expected to close during the third quarter of 2012 and is subject to regulatory approval. The transaction is expected to be immediately accretive to earnings.
Oceanic Bank has been serving their customers for over thirty years, with two offices in San Francisco, CA and an office on the island of Guam. Net loans and total assets of Oceanic Bank as of December 31, 2011 were approximately $117 million and $169 million, respectively. Total deposits as of December 31, 2011 were approximately $120 million.
